Terms and Conditions ( Project Contract )

Introduction

These terms and conditions govern the provision of Design services by OKÍKĒ Designs & Co, located in Lagos, Nigeria, to you, the client. By paying the deposit, you automatically agree to these legally binding terms and conditions as set forth below.

Services Provided

OKÍKĒ Designs & Co will provide interior and automation design services, which include but are not limited to planning, designing, and managing projects (residential and commercial), including acoustically treated cinema and media rooms unless otherwise stated. We also render project management services and are responsible for supervising all work carried out by subcontractors. However, please note that subcontractors are independent contractors and are fully responsible for all works assigned to them. Subcontractors will be held directly accountable for any issues regarding the work they provide, including refunds and rectifications.

Work will commence when 80% of the design fees have been paid, with the remaining 20% due upon delivery of the interior design plan. We will make every effort to carry out the services within the agreed timescales. However, there may be delays due to an Event Outside Our Control.

Please note that unless otherwise agreed, design fees are charged at a set rate per room, with multi-room discounts available. A room is defined as an area of use, so for example, an open plan living, dining, and kitchen space is priced as three rooms.

Interior design plans are typically delivered in digital format with 2D layouts, rendered images, and / or an inventory that details all items in the plan. Regarding project management services, a deposit of 80% on the agreed sum will commence the project, and the remaining 20% is due upon completion. This arrangement means that we can fully implement the design plan on your behalf, should you wish.

Payment Terms

Payment for services rendered by OKÍKĒ Designs & Co is due according to the payment schedule provided at the commencement of the contract. A deposit must be paid to begin work, and by paying this deposit, you accept these terms and conditions in full. All payments are made into the company’s account stated within the invoice.

Changes and Cancellations

Requests for changes by the client must be made in writing. While we strive to accommodate reasonable adjustments, changes may be subject to additional charges. If a client cancels the service, the deposit paid is non-refundable.

Liability and Insurance

OKÍKĒ Designs & Co ensures that all our interior designers are fully insured with Professional Indemnity and Public Liability Insurance. We will repair any damage caused by our direct actions during installation, except where damage relates to pre-existing conditions or is deemed necessary as part of the installation process. We do not cover damage related directly to the actions or negligence of contractors, subcontractors, direct labour and all stakeholders on the project.

We generally provide services for private and domestic use. If services are used for commercial purposes, prior notification is required, and different liability terms may apply. We are not liable for any loss of profit, business interruptions, or any other commercial losses. knowledge your understanding and acceptance of these terms.

Our liability does not exclude or limit for:

– Death or personal injury caused by our negligence or that of our employees, agents, or subcontractors;

– Fraud or fraudulent misrepresentation;

– Any breach of the terms mandated by relevant Nigerian consumer protection laws and any other pertinent legislation concerning the sale of goods and provision of services;

– Defective products or services where we are the originator of the goods or services.

Intellectual Property

All design rights, including but not limited to plans, drawings, and 3D renderings, are owned by OKÍKĒ Designs & Co. We reserve all rights to the designs, including all digital products of pre-design, design, pre-construction & post-construction works. These include but not limited to images, videos, pdf, docs

Other Important Terms

– We may transfer our rights and obligations under these terms with notice.

– You may only transfer your rights or obligations with our written consent.

– This contract is solely between you and OKÍKĒ Designs & Co. No third party has the right to enforce any terms of this agreement.

– Both parties agree to act in good faith and refrain from any coercive behavior. Disputes should be resolved amicably through the mechanisms provided, avoiding negative publicity or coercion.

– If any part of these terms is deemed unlawful, the remaining sections shall remain in effect.

– Failure to enforce any of the rights under these terms does not constitute a waiver of those rights.

– These terms are governed by Nigerian law, and both parties submit to the exclusive jurisdiction of Nigerian courts.

By signing this agreement and/or paying the deposit in respect to any invoice or payment quote shared via email, WhatsApp, or any other digital form (including but not limited to text, PDF, images, or videos), you acknowledge and accept these Terms and Conditions in full.

Both parties agree to act in good faith and resolve disputes first through negotiation and, if necessary, mediation before pursuing legal remedies.
